Document Collection

As Solicitation Agent, we can electronically collect signatures on deal related documents that require the shareholders’ signature, such as consents, joinders or 280G consents. Documents can be customized with information specific to each shareholder and deal parties will receive regular reports reflecting signature status.

Escrow Accounts

The Escrow Agent acts as a secure, neutral third-party to help ensure funds are available for all indemnification obligations of the shareholders. Through one agreement deal parties can open as many escrows as are required under the transaction agreement. The parties receive a dedicated account manager who will guide them through a smooth process that meets the timeline of the deal.

Payment Processing

Payment information and letters of transmittal can be collected through a secure online portal. Payments are typically processed on the closing date for all presented shareholders, as well as any deal related transaction expenses.

Shareholder Representative

Major shareholders can maintain control over post-closing decisions while offloading administrative burdens, receiving experienced guidance and helping to reduce their direct liability. The Shareholder Representative reviews and negotiates claims, coordinates all post-closing distributions, provides around the clock shareholder attentiveness, and sends monthly updates to all shareholders.
