Mergers & Acquisitions
Use our secure and intuitive online FastTrack portal to collect payment and tax information from securityholders, as well as any transaction documents requiring their signature pre or post-closing.
Why Wilmington Trust
Enhance the payment and document collection process through FastTrack
An Efficient Process
Securityholders enter their payment instructions directly through the FastTrack portal to reduce risk of error and enhance security. Securityholders can also sign any transaction related documents, such as joinders or consents in addition to letters of transmittal, simultaneously through the portal.
The Paying Agent can provide 1099-B, 1099-INT, 1099-DIV, 1099-NEC and 8288 reporting, as required.
A Sustainable Option
We not only process payments to securityholders, warrantholders and non-employee optionholders, but we can also process all transaction expenses, including debt pay-offs, at closing. This means the buyer only has to send one wire to the paying account at closing. We’ll take care of the rest.
We maintain all payment instructions and allow securityholders to update their payment instructions directly through FastTrack anytime prior to post-closing distributions.

Why Hire a Professional Shareholder Representative?
The concept of a professional shareholder representative has been used on thousands of mergers and acquisitions transactions over the past 10 years, however there are still some target companies that choose to elect a management member or institutional investor to fill that role.
Shareholder Representative engagements are offered through a Wilmington Trust, N.A. subsidiary, WT Representative, LLC.
